All deliveries and services from Cadleistungen based on online orders via the Internet or other onlineservices are subject to these terms and conditions. Deviating and/or supplementary agreements require theexpress consent of Cadleistungen and must be in writing; This also applies to a waiver of the written formrequirement.
- Cadleistungen will, if possible, adhere to agreed or stated delivery times on time. If these are exceededby more than six weeks, the customer has the right to set a grace period with the indication that he will refuseto accept the purchased item after the deadline has expired. This period of grace must be at least one month.If an agreement on a new delivery date cannot be reached, the customer can withdraw from the contract bymeans of a written declaration after the grace period has expired. If the buyer demands compensation fornon-performance in the event of delay or impossibility, this is limited to a maximum of 5% of the purchaseprice in the case of slight negligence and only includes compensation for direct damage, i.e. in particular notcompensation for lost profits or other indirect damage. Further claims by the buyer – in particular regardingdelivery – are excluded.
- The risk passes to the customer as soon as the goods have been handed over to the transport companyand have left the warehouse. This also applies if Cadleistungen has borne the transport costs. Thecustomer must make complaints about transport damage directly to the transport company within thespecified deadlines. When the customer sends shipments to Cadleistungen, the customer bears all risks, inparticular the transport risk, until the goods arrive at Cadleistungen.
- Invoices from Cadleistungen are due immediately and payable without any deductions. All prices aregross prices including statutory VAT. From the 30th day after the invoice date, Cadleistungen is entitled tocharge default interest of 3% above the current discount rate of the Deutsche Bundesbank, unless Cadleistungen charges higher default interest or the buyer imposes a lower burden on Cadleistungen provenwithout the need for a prior reminder. Checks are only accepted as payment. Possible expenses are chargedto the customer. Offsetting is only permitted with undisputed claims or claims that have been legallyestablished by a court. The customer can only assert a right of retention if it is based on the same contractualrelationship.
- Complaints regarding scope of delivery, material defects, incorrect deliveries and quantity deviations mustbe made in writing immediately, but at the latest within one week of receipt of the goods, to the extent thatthese can be determined through reasonable investigations. In the event of justified complaints, Cadleistungen will deliver missing quantities and, subject to exclusion, will exchange the goods, take them backor grant the buyer a discount at their discretion. If, in the event of an exchange of the goods, the secondreplacement delivery is also defective, the buyer has the right to change or reduce the price. The warranty fordefects in devices is limited to repairs.
- The purchased item remains the property of Cadleistungen until the claims to which Cadleistungen isentitled based on the contract have been settled. The retention of title also remains valid for all claims thatCadleistungen has against the buyer in connection with the purchased item, e.g. B. due to repairs andother services, acquired subsequently. During the duration of the retention of title, the buyer is entitled topossess and use the purchased item in accordance with the contract as long as he meets his obligationsunder the retention of title and his obligations from the business relationship in a timely manner. Thecustomer is obliged to provide Cadleistungen with all information required in the context of pursuing rightsbased on the agreed retention of title.
- Cadleistungen is entitled to collect, store and process the customer’s personal data required as part ofthe business relationship.
- The ineffectiveness of individual points of these general terms and conditions does not affect theeffectiveness of the remaining provisions. The invalid provision will be replaced by a new provision thatcomes as close as possible to the invalid provision in terms of its economic impact. The place of performanceand jurisdiction for contracts concluded including these General Terms and Conditions is Zarrentin.
